Agreement to Terms
These Terms of Service ("Terms") govern your use of the website odysseyoperations.io and the services provided by Odyssey Operations LLC ("Odyssey Operations," "we," "us," or "our"), including our analytics dashboard, advertising management, and digital marketing consulting services (collectively, the "Services").
By accessing our website or engaging our Services, you agree to be bound by these Terms. If you do not agree, do not use our website or Services.
Description of Services
Odyssey Operations provides the following Services to automotive dealerships and other business clients ("Clients"):
2.1 Analytics Dashboard
A consolidated reporting dashboard that retrieves data from Google Analytics 4, Google Search Console, and Google Ads via their respective APIs, and presents it in a unified, private interface for Client use. The dashboard is configured and maintained by Odyssey Operations on behalf of each Client.
2.2 Advertising Budget Management
An automated budget pacing system that monitors daily advertising spend against monthly budget targets and adjusts campaign daily budgets within the Client's Google Ads account. Budget adjustments are limited exclusively to the CampaignBudget daily amount field. The system does not create, pause, remove, or structurally modify campaigns, ad groups, ads, keywords, or other account entities.
2.3 Digital Marketing Consulting
Strategic consulting, campaign management, search engine optimization, and related digital marketing services as defined in individual Client agreements.
Client Accounts & Authorization
3.1 Google API Authorization
To use our analytics dashboard and advertising management Services, Clients must authorize Odyssey Operations to access their Google Analytics, Google Search Console, and/or Google Ads accounts through Google's standard OAuth 2.0 consent flow. Clients may revoke this authorization at any time through their Google account settings.
3.2 Account Ownership
Clients retain full ownership and administrative control of their Google Analytics, Google Search Console, Google Ads, and Google Sheets accounts at all times. Odyssey Operations does not claim ownership of any Client accounts or data.
3.3 Client Responsibilities
Clients are responsible for:
- Maintaining the accuracy and security of their own Google account credentials
- Ensuring they have authority to grant API access for the accounts they authorize
- Reviewing and approving advertising budgets and pacing parameters
- Notifying Odyssey Operations of any changes to account access or authorization
Data Usage & Privacy
4.1 Data Handling
Our collection, use, and handling of data is governed by our Privacy Policy. By using our Services, you acknowledge that you have read and agree to our Privacy Policy.
4.2 Client Data Isolation
Each Client's data is stored in a separate, private Google Sheets workbook owned by the Client. Odyssey Operations does not aggregate, combine, or share data across Client accounts.
4.3 No Third-Party Data Sharing
We do not sell, rent, license, or otherwise share Client data with third parties, except as required by law or with the Client's explicit written consent.
4.4 Google API Services Compliance
Our use of Google API data complies with the Google API Services User Data Policy, including the Limited Use requirements. We use Google API data only to provide the Services described in these Terms.
Advertising Budget Management
5.1 Scope of Budget Adjustments
When Clients authorize our budget pacing Service, Odyssey Operations may adjust daily campaign budgets within the Client's Google Ads account. Adjustments are limited to the daily budget amount and are made to maintain even pacing of spend against monthly targets set by the Client.
5.2 Safety Controls
Budget adjustments are governed by configurable safety controls, which may include daily spending caps, maximum adjustment limits, variance thresholds, and approval workflows. Specific controls are configured during onboarding in consultation with the Client.
5.3 No Guarantee of Results
Odyssey Operations does not guarantee specific advertising results, return on ad spend, cost per lead, or any other performance metric. Budget pacing is a mechanical process that distributes spend evenly — it does not optimize campaign performance, targeting, or creative.
5.4 Client Approval
Clients are responsible for setting monthly budgets and approving budget pacing parameters. Odyssey Operations adjusts spending within the parameters approved by the Client. Clients may disable automated budget adjustments at any time by contacting Odyssey Operations.
Intellectual Property
6.1 Odyssey Operations Property
The analytics dashboard application, its design, code, configuration methodology, data processing logic, and associated documentation are the intellectual property of Odyssey Operations. Clients receive a limited, non-exclusive, non-transferable license to use the dashboard for their own internal business reporting during the term of their engagement.
6.2 Client Data
Clients retain full ownership of their own business data, advertising accounts, website content, and all data stored in their Google accounts. Nothing in these Terms transfers ownership of Client data to Odyssey Operations.
6.3 Restrictions
Clients may not copy, modify, reverse engineer, decompile, or create derivative works of the analytics dashboard or its underlying code. Clients may not share dashboard access credentials with competitors of Odyssey Operations or use the dashboard to develop competing products or services.
Fees & Payment
7.1 Service Fees
Fees for Services are defined in individual Client agreements (statements of work, service agreements, or proposals). These Terms do not set specific pricing.
7.2 Payment Terms
Unless otherwise specified in a Client agreement, invoices are due within 30 days of issuance. Late payments may accrue interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.
7.3 Suspension
Odyssey Operations reserves the right to suspend Services for accounts with outstanding balances exceeding 60 days past due, upon 15 days' written notice to the Client.
Term & Termination
8.1 Term
The engagement term is defined in each Client's individual service agreement. For website visitors, these Terms apply for as long as you access our website.
8.2 Termination
Either party may terminate a service engagement as specified in the applicable Client agreement. In the absence of specific termination provisions, either party may terminate with 30 days' written notice.
8.3 Effect of Termination
Upon termination:
- Odyssey Operations will cease accessing the Client's Google accounts
- Odyssey Operations will revoke its own OAuth authorization to the Client's accounts
- The Client retains full ownership and access to their Google Sheets workbook and all data within it
- Odyssey Operations will delete any copies of Client data in its possession within 30 days
- Outstanding fees for Services rendered prior to termination remain due and payable
Disclaimers & Limitations
9.1 Warranty Disclaimer
SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." ODYSSEY OPERATIONS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9.2 Third-Party Services
Our Services depend on the availability and functionality of third-party platforms including Google Analytics, Google Search Console, Google Ads, Google Sheets, and Google Apps Script. Odyssey Operations is not responsible for outages, data discrepancies, API changes, or service interruptions caused by third-party platforms.
9.3 Data Accuracy
Analytics data is subject to sampling, processing delays, and reporting discrepancies inherent to third-party platforms. Odyssey Operations does not guarantee the absolute accuracy of data displayed in the dashboard and is not liable for business decisions made based on reported data.
9.4 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ODYSSEY OPERATIONS' TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY THE CLIENT TO ODYSSEY OPERATIONS IN THE SIX (6) MONTHS PRECEDING THE CLAIM.
IN NO EVENT SHALL ODYSSEY OPERATIONS BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOST DATA, REGARDLESS OF THE CAUSE OF ACTION.
Indemnification
Clients agree to indemnify, defend, and hold harmless Odyssey Operations, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:
- The Client's use of the Services
- The Client's violation of these Terms
- The Client's violation of any third-party rights
- Advertising content or campaigns managed within the Client's accounts
Website Use
11.1 Acceptable Use
You agree not to use our website to transmit spam, malware, or malicious content; attempt to gain unauthorized access to our systems; scrape or harvest data; or engage in any activity that violates applicable law.
11.2 Contact Forms
Information submitted through website forms is used to respond to inquiries and is handled in accordance with our Privacy Policy.
Governing Law & Disputes
These Terms are governed by the laws of the State of Georgia, without regard to conflict of law principles. Any disputes arising from these Terms or the Services shall be resolved in the state or federal courts located in Fulton County, Georgia.
Miscellaneous
13.1 Entire Agreement
These Terms, together with our Privacy Policy and any individual Client agreements, constitute the entire agreement between the parties. In the event of conflict between these Terms and a signed Client agreement, the Client agreement controls.
13.2 Severability
If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
13.3 Waiver
Failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
13.4 Assignment
Odyssey Operations may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets. Clients may not assign their rights under these Terms without Odyssey Operations' written consent.
13.5 Modifications
We may update these Terms from time to time. Material changes will be posted on this page with an updated "Last Updated" date. For active Clients, we will provide notice of material changes via email at least 30 days before they take effect.
